Please read these Terms of Service ("Terms") carefully before using the Proxxie platform operated by Proxxie ("us," "we," or "our"). Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service.

1. Acceptance of Terms

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.

2. Use of the Service

You agree to use the Service only for lawful purposes and in a way that does not infringe the rights of others or restrict their use and enjoyment of the Service. Prohibited behavior includes harassing or causing distress to any other user, transmitting obscene or offensive content, disrupting the normal flow of dialogue within the Service, and transmitting any unsolicited advertising or promotional material.

3. Subscription and Payment

Proxxie offers subscription-based access to its platform. By subscribing, you agree to pay the applicable fees for your selected plan. Founding members receive their subscription rate locked for the duration of their continuous subscription. Fees are billed in advance, monthly or annually depending on the plan you choose. Failure to pay may result in suspension or termination of your account. All fees are non-refundable except as required by applicable law. No refunds on subscription charges. You can cancel at any time; access continues until the end of the current billing period.

4. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Proxxie and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Proxxie. Content you upload to train your chatbots remains your intellectual property.

5. Limitation of Liability

In no event shall Proxxie, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of (or inability to access or use) the Service, even if we have been advised of the possibility of such damages.

6. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of the Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

7. Governing Law

These Terms shall be governed and construed in accordance with applicable laws, without regard to conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
